Wholesale and B2B Policy

This Wholesale and B2B Policy applies to wholesale, reseller, practitioner, distributor, corporate gifting, and other non-consumer purchases from Klyyr LLC ("Klyyr," "we," "us," or "our"). If a signed agreement, written quote, invoice, or purchase order accepted by Klyyr conflicts with this policy, the signed or written B2B terms control for that order. Consumer store policies, including the 60-day satisfaction window, do not apply to wholesale purchases.
Account approval
Wholesale access is by approval only. We may approve, deny, suspend, or terminate a B2B account at our discretion. We may request business information, resale certificates, professional credentials, tax documentation, channel information, insurance information, or other details before approving an account or order. Wholesale accounts may not be assigned or shared without our written consent.
Authorized channels
Unless Klyyr gives written permission, wholesale customers may sell only through the channels approved for their account. Sales on marketplaces such as Amazon, Walmart, eBay, TikTok Shop, or other third-party marketplaces are prohibited without written authorization. Products may not be exported, diverted, relabeled, repackaged, bundled in misleading ways, or sold to unauthorized resellers. We may request sales-channel information and may suspend shipments if we reasonably suspect diversion.
Pricing, minimums, and payment
Wholesale prices, minimum order quantities, case packs, payment terms, credit limits, shipping charges, and discounts are provided in writing and may change before an order is accepted. Opening orders, reorders, samples, and testers may have different terms. Unless credit terms are approved in writing, payment is due before shipment. Late amounts may accrue fees, collection costs, and interest to the extent permitted by law. We may set off amounts you owe us against amounts we owe you.
Taxes and resale certificates
Wholesale customers are responsible for all applicable taxes, duties, import fees, and compliance obligations unless a valid exemption applies. If you claim tax-exempt status, you must provide a valid resale certificate or other required documentation before the order is processed. You must update that documentation if it expires or your status changes.
Order acceptance and allocation
Submitting a wholesale order does not guarantee acceptance. We may reject, cancel, limit, split, delay, or allocate orders because of inventory limits, payment risk, channel concerns, suspected diversion, compliance concerns, or errors. If we cancel a paid order, we will refund any amount required by law or the applicable written agreement.
Shipping and risk of loss
Shipping terms are stated in the applicable quote, invoice, or written agreement. If no separate terms are stated, we may choose the carrier and service level. Delivery dates are estimates. Where permitted by law, title and risk of loss transfer when we tender products to the carrier. Claims for shortage, visible damage, or incorrect items must be reported within 7 days after delivery with supporting documentation.
Wholesale returns
Consumer return rights do not apply to wholesale or B2B purchases. Wholesale orders are final sale unless Klyyr authorizes a return in writing or the product is verified as damaged, defective, or incorrect because of our error. Unauthorized returns may be refused or returned at the customer's expense.
MAP and advertised pricing
If Klyyr provides a minimum advertised price ("MAP") or promotional guidelines in writing, authorized resellers must follow them for advertised prices, couponing, bundles, marketplace listings, paid ads, and other public promotions. Klyyr may suspend shipments, revoke wholesale access, or terminate reseller authorization for violations. This policy does not restrict a reseller's right to set its actual resale price where such restriction would be prohibited by law.
Product claims and compliance
Wholesale customers may use only product claims, images, descriptions, and marketing materials approved by Klyyr or made available by Klyyr for reseller use. You may not make disease-treatment, dental-treatment, drug, medical, or unsupported performance claims about Klyyr products. You are responsible for complying with laws, platform rules, advertising rules, professional rules, and customer disclosures applicable to your sales channel, including our Product Use and Safety guidance.
Brand and intellectual property
Klyyr owns its brand names, logos, packaging, images, product copy, formulas, website content, and related intellectual property. Wholesale approval gives you a limited, revocable, non-exclusive permission to use approved brand materials only to market and sell authorized Klyyr products in approved channels. We may revoke that permission at any time.
Storage, quality, and recalls
Wholesale customers must store, handle, and ship products in a clean, dry, temperature-appropriate environment and in a way that protects packaging, lot codes, seals, and product quality. Do not sell expired, damaged, altered, opened, relabeled, or suspect product. If we notify you of a withdrawal, recall, or quality hold, you must stop sale of affected lots, follow our instructions, and confirm remaining inventory within 48 hours. We may require product withdrawal or recall cooperation when reasonably necessary.
Confidentiality
Wholesale pricing, account terms, customer lists, and non-public product information are confidential. You may use them only to purchase and sell authorized Klyyr products and may not disclose them except to employees or advisors who need them and are bound to keep them confidential, or as required by law.
Insurance and indemnification
If we reasonably request it, you will maintain commercial general liability and product liability insurance appropriate to your business. You will defend and indemnify Klyyr against claims arising from your marketing, storage, handling, unauthorized claims, channel violations, or resale of Klyyr products, except to the extent caused by our verified manufacturing defect.
Termination
We may terminate wholesale access or reseller authorization for any reason unless a signed agreement says otherwise. Upon termination, you must stop presenting yourself as an authorized Klyyr reseller and stop using Klyyr brand assets except as required to sell through remaining authorized inventory in a manner approved by us.
Governing law
This policy is governed by the laws of the State of Utah, without regard to conflict-of-law rules, except as a signed agreement says otherwise.
